1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and SilverWolf Software ("Company," "we," "us," or "our"), concerning your access to and use of the SushiNearMe.online application and website (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you do not have permission to access the Service.

2. Eligibility

To use our Service, you must:

• Be at least 13 years old (or 16 in the European Union)
• Have the legal capacity to enter into binding contracts
• Not be barred from using the Service under applicable law
• Provide accurate location information when requested
• Use the Service in compliance with all applicable laws and regulations

3. Service Description

SushiNearMe.online provides:

• Location-based search for sushi restaurants
• Intent-driven natural language search capabilities
• Restaurant information including ratings, hours, and contact details
• Interactive maps and directions via Google Maps integration
• Restaurant imagery from Pexels and other sources
• Filter options (price range, ratings, distance, delivery, etc.)
• Blog content about sushi culture and dining

The Service is provided for informational purposes. We aggregate data from public sources and do not operate, endorse, or guarantee any listed restaurants.

4. Location Services

4.1 Geolocation Consent

Our Service uses browser geolocation to find nearby restaurants. By granting location access, you consent to our collection and use of your location data as described in our Privacy Policy.

4.2 Location Accuracy

Location accuracy depends on your device and browser. We use Haversine distance calculations for radius search. We do not guarantee 100% accuracy of distance measurements or restaurant locations.

4.3 Alternative Search

You may use city name or ZIP code search instead of geolocation if you prefer not to share your precise location.

5. Acceptable Use Policy

5.1 You May NOT:

• Use the Service for illegal or unauthorized purposes
• Violate any laws in your jurisdiction
• Scrape, mine, or harvest restaurant data without authorization
• Attempt to gain unauthorized access to our systems or database
• Use automated systems or bots to query the Service excessively
• Transmit malware, viruses, or malicious code
• Interfere with or disrupt the Service or servers
• Impersonate restaurants or submit fake reviews
• Use the Service to harass or defame restaurants or users
• Resell or redistribute our data without permission
• Reverse engineer or attempt to extract our source code
• Use the Service to compete with us or build a similar service

5.2 Fair Use

We reserve the right to limit excessive usage that impacts Service performance or availability for other users. This includes rate limiting API calls and search queries.

6. Restaurant Data

6.1 Data Sources

Restaurant information is aggregated from publicly available sources. We do not verify all data and cannot guarantee accuracy, completeness, or currency of information.

6.2 No Endorsement

Listing a restaurant does not constitute endorsement. We are not responsible for:

• Quality of food, service, or facilities
• Accuracy of hours, prices, or menu information
• Availability of advertised features (delivery, AYCE, etc.)
• Food safety or health compliance
• Business closure or relocation

6.3 Third-Party Links

We may provide links to restaurant websites, Google Maps, delivery services, and other third parties. We are not responsible for their content, services, or privacy practices.

7. Intellectual Property

7.1 Our Property

The Service and its original content, features, functionality, design, and database compilation are owned by SilverWolf Software and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Service for personal, non-commercial purposes
• View and print individual restaurant results for personal reference
• Share links to specific search results

7.3 Restrictions

You may not copy, modify, distribute, sell, or create derivative works from our proprietary database, algorithms, or design without written permission.

8. Sponsored Listings

Restaurants may pay for enhanced visibility ("Sponsored Boost"). Sponsored listings are clearly marked and do not affect organic search ranking algorithms.

• Sponsored restaurants appear with a "Sponsored" badge
• Sponsorship is available at $1/day per restaurant
• We reserve the right to reject or remove sponsored listings
• Refunds for removed listings are provided on a pro-rata basis

9. Affiliate Links

We may earn commissions from delivery services (DoorDash, Uber Eats, etc.) and reservation platforms when you click through our links. These commissions support our free Service and do not affect your costs.

Our affiliate relationships do not influence search results or restaurant rankings.

10. Disclaimers

10.1 No Professional Advice

The Service provides general restaurant information. It does not constitute:

• Professional dietary, health, or nutritional advice
• Food safety certifications or inspections
• Endorsement of specific restaurants or cuisines
• Guarantee of restaurant quality, safety, or availability

10.2 Local LLM Limitations

Our intent-based search uses local AI models that may occasionally misinterpret queries. We do not guarantee perfect understanding of all search requests or natural language inputs.

11. Limitation of Liability

Some jurisdictions do not allow limitation of certain damages, so some limitations may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless SilverWolf Software, its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your reliance on restaurant information
• Your interactions with restaurants you found through our Service

13. Dispute Resolution

13.1 Binding Arbitration

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall be conducted in Texas.

13.2 Class Action Waiver

YOU AGREE THAT ANY DISPUTES SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY, NOT AS PART OF ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.

13.3 Exceptions

You may pursue claims in small claims court. We may seek injunctive relief for intellectual property violations in any court of competent jurisdiction.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. The federal and state courts located in Texas shall have exclusive jurisdiction for any disputes not subject to arbitration.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Displaying a notice on our homepage for significant changes

Continued use of the Service after changes constitutes acceptance of the modified Terms.

16. Termination

We may terminate or suspend your access immediately, without prior notice, for:

• Breach of these Terms
• Fraudulent, abusive, or illegal activities
• Excessive automated queries or scraping
• At our sole discretion for any reason

Upon termination, your right to use the Service ceases immediately. Provisions that should survive termination will remain in effect.

These Terms constitute the entire agreement between you and SilverWolf Software regarding the Service.

17.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

17.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

17.4 Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights to any successor or acquirer.
